SPRING HILL PARENT TEACHER ORGANIZATION BY-LAWS
ARTICLE I: NAME
The name of this organization is the Spring Hill Parent Teacher
Organization ("PTO")
ARTICLE II: ARTICLES OF ORGANIZATION
The articles of organization of a local constituent organization include
the bylaws of such organization.
ARTICLE III: PURPOSE
Section 1. The objects of this PTO are:
a. To promote the welfare of children and youth.
b. To bring into closer relation the home and school, that
parents and teachers may cooperate in the education of children and
youth.
c. To help provide supplemental resources that enhance or
enrich school curricula.
Section 2. The objects of this organization are promoted, in cooperation
with the Spring Hill PTO and spring Hill Elementary School, through an
educational program directed toward parent, teachers, and the general
public.
Section 3. The organization is organized exclusively for the charitable,
scientific, literary of educational purposes within the meaning of section
501 C (3) of the Internal Revenue Code, or corresponding section of any
future Federal tax code (hereinafter "Internal Revenue Code").
ARTICLE IV: BASIC POLICIES
The following are basic policies of the Spring Hill PTO:
a. The organization shall work with the schools to provide
quality education for all children and youth, and shall seek to
participate in the decision-making process establishing school policy,
recognizing that the legal responsibility to make decisions has been
delegated by the people to boards of education.
b. The organization shall be noncommercial, nonsectarian, and
nonpartisan.
c. The name of the organization or the names of any members in
their official capacities shall not be used to endorse or promote a
commercial concern or in connection with any partisan interest for any
purpose not appropriately related to promotion of the objects of the
organization.
d. The organization shall not---directly or
indirectly---participate or intervene (in any way, including the
publishing or distributing of statements) in any political campaign or
behalf of, or in opposition to any candidate for public office; or
devote more than an insubstantial part of its activities to attempting
to influence legislation by propaganda or otherwise.
e. The organization shall not enter into membership with other
organizations without prior approval, as recorded in minutes, of the
Spring Hill Elementary Executive PTO Board.
f. No part of the net earnings of the organization shall be
used to the benefit or be distributed to its members, directors,
trustees, officers or other private persons except that the organization
shall be authorized and empowered to pay reasonable compensation for
services rendered and /or to make payments and distributions to further
the purposes set forth in Article III hereof.
g. Notwithstanding any other provisions of these articles, the
organization shall not carry on any other activities not permitted (i)
by an organization exempt form Federal income tax under Section 501 C
(3) of the Internal Revenue Code, or (ii) by an organization,
contributions to which are deductible under Section 170 C (2) of the
Internal Revenue Code.
h. Upon the dissolution of this organization, after paying or
adequately providing for the debts and obligations of the organization,
the remaining assets shall be distributed to one or more nonprofit
funds, donations, or organization which have established their tax
exempt status under Section 501 C (3) of the Internal Revenue Code.
ARTICLE V: RELATIONSHIP WITH NATIONAL PTA AND KANSAS PTA
Section 1. This PTO shall be organized and chartered under the authority
of the Spring hill Elementary PTO seven member Executive Board, the area in
which this organization functions, in conformity with the following rules
and regulations.
Spring Hill Parent Teacher Organization will be considered in good
standing through
a. Adherence to the basic policies of the PTO.
b. Has bylaws approved.
c. Meets other criteria as may be prescribed by the local PTO.
Section 2. Bylaws of this organization shall include an article on
amendments.
Section 3. Each officer of this organization shall be a member of the
local PTO.
Section 4 This PTO shall keep such permanent books of accounts and
records as shall be sufficient to establish the items of gross income,
receipts and disbursements of the organization, including, specifically, the
number of its members and the dues collected from its members. Such books of
account and records shall at all reasonable times be open to inspection by
an authorized representative of USD #230 or by any member of the Spring Hill
Elementary School PTO.
Spring Hill Elementary PTO may dissolve and wind up its affairs in the
following manner:
a. The executive committee or the body that, under its bylaws,
manages the affairs of the local PTO be dissolved and directing that the
question of school dissolution submitted to a vote at a special meeting
of members having voting rights. Written or printed notice stating that
the purpose of such mention is to consider the availability of
dissolving the local PTO shall be given to each member entitled to vote
at such meeting at least thirty (30) days prior to the date of such
meeting.
b. Written notice of the adoption of such resolution,
accompanied by a copy of the notice of the special meeting of members,
shall be distributed at least twenty (20) days before the date fixed for
such special meeting of the members.
c. Only those persons who were members in good standing of the
local PTO on the date of adoption of resolution and who continue to be
members in good standing on the date of the special meeting shall be
entitled to vote on the question of dissolution.
Section 5. The local PTO is obligated, upon dissolution of its
organization to maintain all its books and records for a period of 5 years
from the date of dissolution. These books and records will be stored at
Spring Hill Elementary School.
ARTICLE VI: MEMBERSHIP AND DUES
[PROPOSED CHANGES TO SECTION 1-5 BELOW:
The Spring Hill Elementary PTO propose that membership shall consist of
any persons with students enrolled in Spring Hill Elementary. Their
membership shall become effective upon enrollment.
The dues for joining the Spring Hill Elementary PTO have been changed to
$0.00.]
Section 1. Every individual who is a member of the PTO is entitled to all
benefits of such membership.
Section 2. Membership in this PTO shall be made available without regard
to race, color, creed, or national origin.
Section 3. This PTO shall conduct an annual enrollment of members, but
person may be admitted to membership at any time.
Section 4. Each member of this PTO shall pay such annual dues to said
organization.
Section 5. Each member of this PTO shall pay annual dues as set by the
Executive Board and voted on by the organization.
ARTICLE VII: OFFICERS AND THEIR ELECTION
Section 1. Each officer of the PTO shall be a member of this PTO.
Section 2. Officers and their election:
a. The officers of this organization shall consist of a
president, a vice-president, a secretary, and a treasurer.
b. Officers shall be elected by ballot in the month of April.
However, if there is but one nominee for any office, election for that
office may be by voice vote.
c. Officers shall assume their official duties following the
close of the meeting in (May) and shall serve for a term of 1 year or
until their successors are elected. The exception is the vice-president
who will move into the role of presidency the following school year.

duties following the close of the meeting in (May). The Secretary and
Treasure positions shall serve for a term of 1 year or until their
successors are elected. The President and Vice President positions shall
serve for a term of 2 years or until their successors are elected.]
Section 3. Nominating Committee:
a. There shall be a nominating committee composed of 3 (three)
members who shall be appointed by this PTO at regular meeting at least
one month prior to the election of officers. The committee shall elect
its own chairman.
b. The nominating committee shall nominate an eligible person
for each office to be filled and report its nominees at the regular
meeting in (March), at which time additional nominations may be made
from the floor.
c. Only those persons who have signified their consent to serve
if elected shall be nominated for or elected to such office.
ARTICLE VII: DUTIES OF OFFICERS
Section 1. The president shall:
Preside at all meetings; shall be a member ex officio of all committees,
(except the nominating committee) if any, except the Board of Director;
shall appoint special and standing committees; shall perform such other
duties as may be prescribed in these bylaws or assigned to him by the
Executive Committee; and shall coordinate the duties of the officers and
committees, in order that the objectives may be promoted.
Section 2. The vice-president shall:
The vice-president shall assist the president and shall perform the
duties of the president in the absence or inability of that officer to
serve, and shall perform such other duties as delegated to him/her.
Section 3. The secretary shall:
Keep a correct record of all meetings of the organization and the Board
of directors as necessary, and shall perform such other duties as may be
delegated by the president or any member of the Board of Directors.
Section 4. The treasurer shall:
a. have custody of all the funds of the organization;
b. keep a full and accurate account of receipts and
expenditures;
c. make disbursements as authorized by the president, executive
committee/board, or organization in accordance with the budget adopted
by the organization;
d. have checks or vouchers signed by two persons, the
treasurere and one other person;
e. present a financial statement at every meeting of the
organization and at other times when requested by the executive
committee/board;
f. make a full report at the meeting at which new officers
officially assume their duties (usually the annual meetings);
g. be responsible for the maintenances of such books of account
and records as to conform to the requirements of Article XIII;
h. have the accounts examined annually or upon change of
officer by an auditor or auditing committee of not fewer than three
members, who satisfied that the treasurer’s annual report is correct,
shall sign a statement of that fact at the end of the report;
i. submit the books annually for an audit by an auditing
committee selected by the executive board before the end of the school
year.
Section 5. All officers shall:
a. Perform the duties prescribed in the parliamentary authority
in addition to those outlined in these bylaws and those assigned from
time to time.
b. Deliver to their successors all official material within ten
days following the meeting at which new officers assume their official
duties.
ARTICLE IX: EXECUTIVE BOARD
Section 1.
a. The executive board shall consist of the officers of the
association, past president, room parent representative and the
principal of the school or a representative appointed by him/her.
b. Five members of the executive board shall constitute a
quorum for a transaction of business for this organization.
Section 2. The duties of the executive board shall be:
a. to transact necessary business as may be referred to it by
the organization;
b. to prepare and submit to the organization for adoption a
budget for the year;
c. to approve routine bills within the limits of the budget.
Section 3. Regular meetings of th executive board shall be held during
the school year as need is determined. A majority of the Executive Board
members shall constitute a quorum. Special meetings of the executive board
may be called by the president or by a majority of the members of the board,
with one day notice given.
ARTICLE X: MEETINGS – REGULAR
Section 1. At least 4 regular meetings of this organization shall be held
during the school year. Dates of meetings shall be determined by the
executive board and announced at the first regular meeting of the year.
(Three) days notice shall be given of a change of date.
Section 2. Special meetings of the organization may be called by the
president or by a majority of the executive board, with three days notice
being given.
Section 3. The election meeting shall be held in (April).
Section 4. Seven members shall constitute a quorum for the transaction of
business in any meeting of this organization.
ARTICLE XI: COMMITTEES
Section 1. Only members of the organization shall be eligible to serve in
any elective or appointive positions.
Section 2. The executive board may create such standing committees, as it
may deem necessary to promote the purpose and carry on the work of the
organization. The term of each chairman shall be 1 year or until the
completion of the project.
Section 3. The chairman of each standing committee shall present a plan
of work to the executive board for approval. No committee work shall be
undertaken without the consent of the executive board.
Section 4. The president shall be a member ex officio of all committees
except the nominating committee.
ARTICLE XII: FISCAL YEAR
The fiscal year of this organization shall begin August 1 and end July
31.
ARTICLE XIII: AMENDMENTS
Section 1.
a. These bylaws may be amended at any regular meeting of the
organization by a two-thirds vote of the members present and voting,
provided that notice of the proposed amendment shall have been given at
least 30 days prior to the meeting at which the amendment is voted upon.
b. A committee may be appointed to submit a revised set of
bylaws as a substitute for the existing bylaws only by a majority vote
at a meeting of the organization, or by two-thirds vote of the executive
board. The requirements for adoption of a revised set of bylaws shall by
the same as in the case of an amendment.
